General Terms and Conditions of Maharishi Ayurveda Europe BV for Resellers

§ 1 Scope

These terms and conditions apply as part of the contract for all sales contracts concluded between Maharishi Ayurveda Europe BV as seller and a customer as buyer in the form of a catalog transaction.

These rules are intended to simplify the conclusion of a contract by providing details only once for all customers and informing you of your rights and obligations.

All agreements made between us as parties, seller and buyer, within the framework of a distance selling transaction are set out in writing in the purchase contract (order and confirmation), these Terms and Conditions, and the seller's order confirmation. Email is also considered written form.

There are no further agreements unless we have agreed on additions in writing.

§ 2 Offer and conclusion of contract

The presentation of our product range in our online shop and sales catalog does not constitute a binding offer. By placing an order, you submit a binding offer.

Depending on our inventory, we may not be able to accept this offer immediately or may no longer be able to. We will inform you of this immediately. The information regarding availability in the online shop may not be up to date due to technical reasons.

§ 3 Prices and payment conditions

1) Our prices do not include shipping costs. Packaging costs are included in the price. We calculate the actual shipping costs based on the weight of the shipment. Within Germany, shipping is free for orders over €250.00.

(2) The purchase price is due without deduction within 8 days after you have received the invoice with the goods.

(3) Offsetting, even in the case of asserting complaints or counterclaims, is excluded. However, we agree to this if your counterclaims have been legally finalized, acknowledged by us, or are undisputed.

You are only entitled to exercise a right of retention if the counterclaim is based on the same purchase contract.

4) We reserve the right to make changes to prices and product ranges.

§ 4 Delivery and performance time

1) For products from our stock, delivery time is typically 7-10 business days. However, we cannot guarantee a specific delivery time, as we, too, are dependent on our suppliers.

If no delivery is made within 20 days of order confirmation, you have the right to cancel the order without giving any reason, i.e. to cancel the purchase contract without incurring any costs.

2) For organizational reasons, we ask for your understanding that in some cases we may not be able to deliver the entire order at once. Any increase in shipping costs resulting from partial delivery will, of course, be borne by us.

§ 5 Warranty and Liability (Complaints)

1) In the event of damage for which we are responsible, you have the right to demand subsequent performance from us, unless we are legally entitled to refuse such performance. If you wish to complain about something, please grant us a reasonable grace period of 14 days, during which you will give us the opportunity to rectify the defect. Withdrawal from the contract or reduction of the purchase price are excluded as long as rectification is possible and is deemed to be in accordance with the contract.

2) Subsequent performance may, at our discretion, be achieved by remedying the defect or delivering new goods. We always choose the method that is quick and reasonable for both contracting parties. The rectification is deemed to have failed after the second unsuccessful attempt. If the rectification fails, you may, at your discretion, demand a reduction of the purchase price or declare withdrawal from the contract. As usual, we limit our liability for damages resulting from a defect in goods to intent and gross negligence.

§ 6 Retention of title

We reserve ownership of the delivered goods until all payments arising from the purchase contract have been received.

§ 7 Applicable law

The relationship between the contracting parties shall be governed exclusively by the law applicable in the Federal Republic of Germany.

§ 8 Severability Clause

Should one or more clauses of these terms and conditions be or become invalid, the validity of the other clauses shall not be affected.
